Jeffrey W. Peyton practices in the area of corporate law with a focus on commercial finance. Mr. Peyton represents national and regional banks, debt funds, private equity funds, asset-based lenders and other business creditors in a variety of commercial loan transactions. His finance transactions routinely include revolving credit, term loan, capital expenditure and letter of credit facilities, and involve merger and acquisition financings, traditional accounts receivable and inventory financings, and the representation of administrative and collateral agents in syndicated credit facilities. Mr. Peyton also represents the firm’s business clients on corporate finance and event-driven transactions.

Mr. Peyton is a 2012 graduate of the University of Baltimore School of Law, a 2007 graduate (M.B.A.) of the University of Colorado, and a 2004 graduate (B.A.) of St. Mary’s College of Maryland.

Representative Matters

    Commercial Finance

  • Represented a gaming company in obtaining financing consisting of a $70 million revolving line of credit and a $32 million non-revolving line of credit.

  • Represented an information technology company in connection with its acquisition of competitors’ assets and earn-out financing, and with obtaining senior financing consisting of a $34.5 million term loan, a $28.5 million delayed draw term loan and a $7 million revolving line of credit, as well as subordinate financing consisting of a $22.4 million asset-based line of credit and subsequent modifications thereto.

  • Represented a lender in connection with a $50 million revolving credit facility, a $1 million letter of credit facility, a $33 million term loan, a $30 million term loan and a $2.5 million multiple-advance term loan made to a hospital and affiliated care centers.

  • Represented the lead lender in syndicated credit facilities made to urgent care centers consisting of a $25 million term loan, a $15 million delayed draw term loan, a $5 million revolving line of credit and a $1 million swingline loan, together with subsequent modifications, in connection with the borrower’s acquisition and sale of additional care centers.

  • Represented a lender in connection with a $25 million term loan and an $18 million revolving line of credit to a data services company for its acquisition of a competitor’s equity interests and for working capital needs.

  • Working Capital

  • Represented a Top 20 U.S. bank in connection with a $100 million revolving loan to a Maryland statutory body for working capital needs and liquidity reserves.

  • Represented a Maryland banking corporation in connection with a $35 million revolving loan to a Washington, D.C.-based real estate developer.

  • Represented a Top 5 money-center bank in connection with a $35 million revolving loan to a software engineering company and its wholly-owned subsidiaries.

  • Represented a Top 5 money-center bank in connection with a $25 million revolving loan to a pharmaceutical company.

  • Represented a Top 5 money-center bank in connection with a $17.5 million revolving loan to an aerospace and defense-contracting firm.

  • Real Estate Financings

  • Represented the senior lender, a Top 5 money-center bank, in connection with a $240 million refinance term loan to the owner of a Florida hotel and resort.

  • Represented a Top 5 money-center bank in connection with a $75 million term loan to a borrower to finance its acquisition of an apartment tower.

  • Represented a Top 5 money-center bank in connection with a $60 million term loan to a borrower to finance its acquisition of a town center.

  • Represented a Virginia banking corporation in connection with a $28.69 million term loan to a borrower to finance its acquisition of 188 condominium units, and a $3 million guidance loan for the borrower’s purchase of subsequent condominium units.

  • Represented a Virginia banking corporation in connection with an $18.387 million term loan to a borrower to finance its acquisition of land to operate three car dealerships.
